TERMS AND CONDITIONS

Loretags Holdings LLC is the sole owner and operator of this website.
LoreTags creates non-fungible tokens (NFTs) and corresponding webpages on behalf of, and at the request of, its clients. Two important aspects of LoreTags’ business model are creating scarcity and leveraging context to create interest in its products. Thus, policies regarding the minting of NFTs and the content of webpages are integral to its business. Use of this website is subject to the following:

I. Definitions

  • “LoreTags” refers to both Loretags Holdings LLC and the collection of NFTs minted herein.
  • “LoreTag” refers to a single NFT minted on this website.
  • “Client” herein refers to any person or legal entity requesting that a certain NFT be created.
  • “item” herein refers to a material (non-abstract), real-world thing which may be owned or possessed. This may include intellectual property.
  • “nudity” herein means exposition of the genitalia or buttocks; or, for females, the areola of the breast.
  • “third party” means any person or entity other than Client or Loretags Holdings LLC.
  • “website” means Loretags.com and all of its subdomains.

II. Minting

Regarding the minting of NFTs (LoreTags), the following policies are in effect:

A. Uniqueness
Every NFT minted by LoreTags must correspond to a unique real-world:

  1. Item or collection of items
  2. Animal or collection of animals
  3. Plant or collection of plants
  4. Person
  5. Collection of people
  6. Piece of real property

B. Digital Assets
Generally, LoreTags does not allow the minting of NFTs for digital creations. Currently, the sole exception is that a Client may mint one (1), and only one, digital avatar (PFP). All other policies apply to this exception.

C. Ownership
The Client must have an ownership interest in the item for which they are requesting a LoreTag. For people, a Client may only request a LoreTag of themself or a group containing themself. The photograph submitted must also be owned or licensed to the Client. LoreTags will not allow NFTs for copyrighted or trademarked material unless owned by the Client.

For common items which generally do not carry legal title, LoreTags will accept a statement of ownership. For people, real property, vehicles, and other items which carry legal title, further proof may be required. A government ID must be provided for people at time of submission.

D. Submittal Photographs
Each LoreTag request must include a .jpg photograph. Photos may be rejected if:

  1. The Client lacks intellectual property rights to use it
  2. It contains visible trademarked/copyrighted material
  3. It includes nudity, lewd content, hate speech, or other prohibited material
  4. The subject is not clearly identifiable or not primary in the photo
  5. The image is blurry or unclear
  6. It contains personally identifiable information
  7. It has formatting issues

While LoreTags moderates submissions, responsibility remains with the Client. Once a LoreTag is minted, the photograph can NEVER be changed.

III. Webpages Corresponding to a LoreTag

Each LoreTag has a corresponding webpage to create context or tell a story. While Clients are encouraged to use these pages creatively, the following are strictly prohibited:

  • Lewd or obscene material
  • Nudity
  • Libelous or slanderous speech
  • Hate speech
  • Any speech prohibited by US law

IV. Other Prohibited Actions

Client may not, without Loretags' prior written consent:

  1. Modify or distort the digital artwork in ways harmful to LoreTags’ business model
  2. Use it for third-party advertising or sales
  3. Mint or tokenise the same artwork again elsewhere
  4. Falsify, misrepresent, or conceal authorship of the artwork

V. Waivers of Liability

Client waives and holds harmless Loretags Holdings LLC for third-party actions or Client’s own actions. Ownership of NFTs is mediated by Smart Contracts. Public wallet addresses are visible and usage is at the Client's own risk.

Clients may not:

  1. Publish or distribute illegal or abusive material
  2. Upload destructive software
  3. Impersonate others
  4. Violate intellectual property rights
  5. Promote illegal activity
  6. Disrupt the Website
  7. Conduct unauthorised commercial activity
  8. Reverse engineer the Website
  9. Remove copyright or proprietary notices
  10. Scrape data for unauthorised purposes

VI. Assumption of Risk and Disclaimers

Client understands the volatility and regulatory uncertainty of blockchain. Use of this website involves risk, and speculation is discouraged. LoreTags is not responsible for financial gain or loss.

DISCLAIMER: LoreTags disclaims all warranties (express or implied), including those of merchantability, fitness, title, and non-infringement. LoreTags will not be liable for any consequential or indirect damages. Maximum aggregate liability shall not exceed the greater of $100 or the total paid by Client in the preceding year.

VII. Choice of Law and Venue

All legal actions must be filed in Oklahoma County, Oklahoma (District Court or US District Court for the Western District of Oklahoma). All disputes will be governed by Oklahoma law.

VIII. Violation of Terms and Conditions

Violations may result in:

  • Refusal to mint
  • Burning of NFT and its webpage
  • Banishment from the website

LoreTags reserves the right to take legal action as appropriate.
